Please carefully read these Terms of Use and Sale before utilizing this site. MANSOME Europe operates this website and any associated mobile apps (referred to collectively as the "Site") as a service to our customers. By using the Site, you agree to adhere to and be bound by the following terms of use and sale ("Terms"). Kindly review the Terms thoroughly and periodically check for any changes. If you do not agree with the Terms, refrain from accessing information or obtaining products or services from the Site.

1. ACCEPTANCE OF TERMS

You acknowledge and agree to the terms and conditions outlined in these Terms. These Terms constitute the sole and exclusive agreement between MANSOME Europe and yourself, replacing all prior or contemporaneous agreements, representations, warranties, and understandings concerning the Site, its content, and the products or services offered through the Site. Any terms and conditions included in a purchase order, order confirmation, or other documents are expressly excluded. Any modifications to these Terms are binding on MANSOME Europe only if mutually agreed upon by you and an authorized representative of MANSOME Europe.

2. ORDER PROCESS, MODIFICATION, AND REJECTION

When placing an order through our Site, you are making an offer to MANSOME Europe to purchase the product(s) in your order. Subsequently, you will receive an email confirmation ("Order Confirmation") acknowledging the receipt of your order, but this does not confirm acceptance of your offer. MANSOME Europe reserves the right to reject any order, even if it has been confirmed or your payment method has been charged. You will be notified of any order rejection via the email address provided during checkout. If any portion of your order is rejected after your payment method has been charged, MANSOME Europe will issue a credit for the rejected amount. The acceptance of your order and the completion of the contract occur when the product(s) are dispatched, and you will receive a dispatch confirmation at the provided email address.

3. SHIPPING, RISK OF LOSS, AND TITLE

Unless otherwise agreed, shipping will be conducted to the delivery address specified by you. If you are a consumer, the risk of damage or loss of products transfers to you upon being shipped out from our warehouse to your specified address. For non-consumers, the risk transfers upon delivery to the carrier. Delivery lead times are variable, and delivery dates are estimates, not guarantees. We retain ownership of all products delivered until full payment has been made.

4. PRICES AND PAYMENTS

The prices of the product(s) and delivery charges are stated on our Site when you place your order. Product prices include applicable VAT. You affirm that the credit card or payment method information you provide is accurate, truthful, and complete, and you will cover the incurred charges.

You can pay using Visa, MasterCard, American Express, Paypal, Swedbank, SEB, Luminor, Citadele, and Šiaulių bank electronic banking services. Payments are possible in euros. Payments are processed by our partners: MakeCommerce.lt & Stripe.

5. NO RESALE

Unless expressly permitted in writing by an authorized representative of MANSOME Europe, you agree not to engage in commercial practices involving the resale of any products purchased on the Site.

6. REPLENISHMENT PLANS

1. Recurring Orders: If you opt for a replenishment plan, your purchase of the chosen product(s) will be processed and shipped based on recurring orders during the plan's term. The order and shipping frequency selected during the order process will determine the schedule. At least one full business day before shipping, we will charge your payment method for the recurring order cost, including shipping and applicable VAT. Product details, such as price, discount, and availability, may change over time, and each replenishment plan order will be subject to the current conditions at the time of processing. Complete details of each recurring order, including the charged amount (including VAT, if applicable), will be sent to your email address at least 48 hours before dispatch. This email will also include instructions for order modification or cancellation if desired.
2. Modification and Cancellation: To pause, resume, cancel, or adjust the frequency of your replenishment plan orders, log into your account and navigate to manage subscription section. The offer to pause replenishment plans is at our discretion and may change. You can modify or cancel subscriptions through your account or email at any time without cause (please note that processing email requests may take up to five business days). Modification or cancellation will not impact dispatched replenishment plan orders. MANSOME Europe reserves the right, with written notice (email) to you, to terminate these Terms and your subscription (replenishment plan) at any time. Upon expiration or termination, no further products will be purchased or shipped on a subscription basis, and your subscription will end.

Our Warranty and Return Policy are integral to this Agreement and do not affect any statutory warranty and return rights granted under applicable law. If you are a consumer from the European Economic Area or the UK, you have statutory warranty rights for two years from product delivery. Repair, replacement, reimbursement, or a reduction in the purchase price can be claimed for defective or inaccurately described products.

Upon accessing the Site, you agree not to use it for creating unlawful, harmful, threatening, abusive, tortious, defamatory, vulgar, obscene, libelous, invasive, hateful, or objectionable material. The limited, nonexclusive license granted for viewing, printing, or downloading materials from the Site is solely for personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other purposes. Reproduction of materials from the Site for personal use, but not for resale or redistribution, is allowed.

9. CREATION AND TERMINATION OF ACCOUNT

By creating an account, you affirm the accuracy of the information provided. We reserve the right to cancel your account at any time without notice if false or misleading information is provided, or if you violate or abuse any of these Terms.

10. PRIVACY POLICY

We process your personal data in line with our Privacy Policy, subject to periodic updates.

11. PROPRIETARY RIGHTS

The content, organization, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to the Site are protected by applicable intellectual property and proprietary rights. Except as expressly stated, copying, redistribution, use, or publication of any Site part is strictly prohibited. Ownership rights to viewed content or materials are not acquired.

12. SUBMISSIONS

Submitting materials to MANSOME Europe grants a non-exclusive, royalty-free, fully sublicensable, transferable, and irrevocable right to use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, and display such materials worldwide in any media. No moral rights are assigned under this section.

13. LINKS TO THIRD-PARTY WEBSITES

The Site may contain links to other websites. We are not responsible for the content, accuracy, or opinions expressed on these websites. Approval or endorsement of these websites is not implied. Accessing any third-party sites is at your own risk.

14. LIMITATION OF LIABILITY

MANSOME Europe assumes unlimited liability for damages resulting from an intentional or grossly negligent breach of duty by MANSOME Europe, its legal representatives, or vicarious agents. Additionally, MANSOME Europe is liable for a slight negligent breach of essential obligations—those obligations whose breach jeopardizes the contract's purpose or facilitates contract fulfillment, regularly relied upon by you. In such cases, MANSOME Europe is liable only for foreseeable damages typical for the contract. MANSOME Europe bears no liability for a slight negligent breach of obligations other than those mentioned above. These liability limitations do not apply to damages caused to life, body, or health, breaches of guarantees, or defects fraudulently concealed. The liability under applicable mandatory product liability laws remains unaffected. If MANSOME Europe's liability is excluded or limited under this section, the same exclusion or limitation applies to MANSOME Europe’s employees, legal representatives, and vicarious agents.

15. INDEMNIFICATION

You agree to indemnify and hold MANSOME Europe, its officers, directors, managers, employees, agents, affiliates, and licensors harmless from all losses, damages, liabilities, costs, and expenses, including statutory attorneys’ fees. This indemnification is attributable to and caused by (a) content you submit, post, or transmit through the Site, (b) your use of the Site, (c) your connection to the Site, (d) your violation of this Agreement, or (e) your violation of any third-party rights, including intellectual property rights.

16. GOVERNING LAW

If you are a consumer residing in Lithuania, the Terms are governed by and interpreted in accordance with the substantive laws of Lithuania, without regard to their choice of law provisions. The 1980 U.N. Convention on contracts for the international sale of goods does not apply.

17. DISPUTE RESOLUTION AND PLACE OF JURISDICTION

For concerns or disputes, contact us at info@mansome.eu. Most issues may be resolved through this channel. MANSOME Europe is not obligated to participate in consumer arbitration board proceedings. If you are not a consumer residing in Lithuania, you and we agree to the non-exclusive jurisdiction of the courts of Lithuania or the EU country where you are domiciled to settle claims related to these Terms.

18. SITE MODIFICATIONS

We reserve the right to edit or delete any documents, information, or content on the Site without notice, at our sole discretion.

19. TERMINATION

Obligations and liabilities incurred before the termination date survive termination. These Terms remain effective until terminated by either party. You may terminate by notifying us, and we may terminate at any time without notice if you fail to comply with any term. Upon termination, you remain liable for amounts due up to the termination date.

20. UPDATES TO THESE TERMS OF USE AND SALE

We may modify these Terms, with minor changes taking effect upon posting. For material changes, we will provide notice at least thirty (30) days before the effective date. You are responsible for keeping your email address current. If you don't object to material changes within six weeks after receipt of notice, you are deemed to have accepted them. If you disagree, discontinue Site use before the changes take effect. Continuing use binds you to the modified Terms.
